AD-HOC RELEASE Public disclosure of inside information pursuant to Article 17 para. 1 of the Regulation (EU) No 596/2014 on market abuse (Market Abuse Regulation ? MAR) Taiwan Fair Trade Commission (“TFTC”) does not issue approval for the sale of the foodpanda business in Taiwan to Uber Technologies, Inc (“Uber”) Berlin, 25 December 2024 ? Delivery Hero SE (“Delivery Hero” or the “Company”, ISIN: DE000A2E4K43, Frankfurt Stock Exchange: DHER) confirms that the TFTC has issued a press release today informing of its decision not to issue approval for the intended sale of Delivery Hero`s foodpanda business in Taiwan to Uber. Delivery Hero SE had announced the intended sale of its foodpanda business in Taiwan – through the sale of its subsidiaries DH Stores (Taiwan) Co., Ltd. and Foodpanda Taiwan Co., Ltd. ? to Uber Technologies, Inc. (the “Transaction”) on 14 May 2024. The Transaction was subject to the fulfillment of customary closing conditions and obtaining required regulatory approvals, including merger control approval by the TFTC. Uber may appeal the decision by TFTC or terminate the Transaction. The parties are subject to appropriate deal protections including  break fee arrangements subject to certain conditions.   *************
