The company generated sales of over EUR 25 million in fiscal year 2024. Integration into the Services & Consumables segment as of the closing date; strengthening of segment sales and margin in line with strategy. Positive contribution to EPS is already expected in fiscal year 2025. SKAN Group will acquire 76% of Metronik; the remaining 24% will be held by the existing management, which will continue to lead the company. Closing of the acquisition expected in the third quarter of 2025. Allschwil, 23. May 2025 – The SKAN Group AG, world market leader for high-quality isolator systems for aseptic production processes in the (bio-) pharmaceutical industry, has signed an agreement to acquire a majority stake in Metronik d.o.o. Metronik d.o.o. is a leading provider of software solutions for manufacturing operations management, digital transformation, automation as well as control of production, energy and clean media related processes with a strong focus on the regulated life sciences sector. Metronik's modular, proprietary and web-based software offers solutions for manufacturing execution systems (MES), recipe management, process data management, energy management, environmental management and operational excellence, among other things. In addition, Metronik has extensive expertise in process automation, IoT integration and facility management. Thomas Huber, CEO of the SKAN Group, explains: “The integration of Metronik is another milestone in the digitalization of SKAN's offering. We are convinced that Metronik's process software solutions will ideally complement SKAN's service offering and accelerate its digitalization initiatives.” 35 years of market experience Founded in 1990 and headquartered in Ljubljana, Metronik today employs more than 160 highly qualified people including 140 software development, digitalization, automation, and engineering specialists. Following strong growth in recent years, the company generated sales of over EUR 25 million in fiscal year 2024. Metronik will continue to operate as an independent company and will be managed by the existing management team. Within the SKAN Group, Metronik will be integrated into the Services & Consumables segment as of the closing date, strengthening the segment's sales and margin profile. The SKAN Group will acquire 76% of Metronik; the remaining 24% will remain with management. The purchase price will be fully financed through bank loans. The parties have agreed not to disclose the financial details. Subject to the anticipated regulatory approvals, the closing is expected in the third quarter of 2025. Strategic fit with the SKAN Group The acquisition strengthens the services and consumables segment by expanding the range to include software and digital integration services, in line with the SKAN Group's strategy. It also supports other strategic objectives of the SKAN Group, particularly with regard to the strategic cornerstone “Accelerate digital transformation”. In addition to expanding its automation expertise and range of services with a focus on MES, Metronik's solutions and expertise create the conditions for digital workflow management that enable initiatives such as “One Button Release” and paperless pharmaceutical production. Furthermore, the solutions in the areas of energy management, environmental management and facility management are also highly relevant for the SKAN Group from an ESG perspective.
