Thalwil, Switzerland, and Luxembourg, 10 October 2025 – ZI Zenith S.à r.l. (“Zenith”), a European   indirect subsidiary of funds managed and/or advised by Advent International, L.P. (“Advent”), a leading private equity investor, today announced the provisional interim result of its public tender offer (“Offer”) for all publicly held shares of u-blox Holding AG (“u-blox”) (SIX: UBXN), a global provider of leading positioning and wireless communication technologies.
As previously communicated on October 8, the offer period concluded on October 9, 2025, at 04:00 p.m. CEST, with no increase in the offer price and no extension of the offer period. Based on preliminary figures, 4,774,528 u-blox shares have been tendered into the Offer. Following the end of the offer period, shareholders with a combined percentage of 2.35% have irrevocably undertaken to tender their shares. Taking into account the shares tendered into the Offer as well as those held by Zenith and persons acting in concert with it and irrevocable tender commitments, Zenith’s total participation amounts to 4,964,580 u-blox shares, representing 64.64% of the issued share capital and voting rights of u-blox.
The provisional notice of the interim result will be published on the official publication platform of the Swiss Takeover Board and is available at www.zenith-offer.com.
This interim result is provisional. The definitive interim result is expected to be published on 15 October 2025. Zenith may acquire additional u-blox shares and/or seek undertakings from u-blox shareholders to tender their shares, in accordance with Swiss takeover regulations.
Completion of the transaction is expected in the fourth quarter of 2025, subject to offer and closing conditions and regulatory approvals. Ends
