Annual Financial Reports - Technical Implementation of the Capital Reduction - New Converted Registered Share and New ISIN The Management Board announces: Annual Financial Report 2023 1. The annual financial statements as of December 31, 2023, were approved by the Supervisory Board on July 28, 2025. Following a voluntary audit, the Company will publish the audit report before October 30, 2025. The figures essentially correspond to the preliminary figures published in the Ad-hoc announcement of February 27, 2024. The 2023 Annual Financial Report will be published today on the Company's website (https://fox-em.com/financial-reports/) . 2. Key figures of the financial report as of December 31, 2023: - As planned, fox e-mobility AG did not generate any revenue from vehicle sales in the 2023 fiscal year, as the company is still in the development phase. - Due to various further cost-cutting measures and an extraordinary gain of €1.8 million (limitation period on a claim), the company achieved a net profit of €0.4 million (preliminary figure: €0.8 million) in the 2023 fiscal year. - Equity amounts to €68 million as of December 31, 2023 (preliminary figure: €68.6 million). - Liabilities amount to €5.8 million (preliminary figure: €5.4 million). Provisions amount to €0.8 million (preliminary figure: €0.6 million).   Announcement of the 2024 Annual Financial Report The Annual Financial Report as of December 31, 2024, will be published on the company's website (https://fox-em.com/financial-reports/) on Friday, August 1, 2025, after review by the Supervisory Board. A loss of approximately €68 million is expected, due to a special write-down of EUR 67 million on the stake value of Fox Automotive Switzerland AG. The annual financial report as of December 31, 2024, will include a supplementary report, which will also inform on the significant events up to July 28, 2025. Technical Implementation of the Capital Reduction The capital reduction to EUR 732,893.00 announced in the Ad-hoc announcement of June 30, 2025, will be implemented as follows: The transfer of holdings of fox e-mobility AG shares (ISIN DE 000A3EX222) into fox e-mobility AG fractional shares (ISIN DE 000A40ZV63) will take place automatically at a ratio of 100:1 with value date August 4, 2025. Between August 4, 2025, and August 25, 2025, the exchange for newly converted registered shares (ISIN DE000A40ZV71) will take place. For shareholders whose number of shares is not divisible by 100, a so-called "partial rights settlement" is provided. Shareholders can individually decide whether to purchase or surrender fractional shares during the partial rights settlement. Shareholders are expected to receive a prepared instruction letter from their custodian bank for this purpose. Trading of fractional shares is not planned. Compensation for the remaining fractional shares will be made after the liquidation (compulsory settlement) by Quirin Privatbank AG, Berlin, via Clearstream Banking AG. Compulsory settlement of the fractional shares will be carried out by Clearstream Banking AG on August 25, 2025. Unless shareholders give their custodian bank a corresponding instruction to round up or down, the respective fractional shares will be automatically sold and the proceeds credited to the respective shareholders. Shareholders are requested to contact their custodian bank. Stock exchange trading, which is currently suspended, will resume shortly after the transfer of holdings; the exact date has not yet been determined.
